Collaborating with influencers or guest contributors on online projects has become commonplace for many brands and online creators today. Advertising campaigns, podcasts, joint livestreams, and webinars serve not only as promotional methods but also as tools for building trust and shaping one’s image. From a legal perspective, any such collaboration constitutes a business relationship that should be properly formalized. In business practice, this means one thing: influencer agreement It should be the standard, not the exception.
The absence of a contract poses a risk for both parties.
On the surface, it might seem that since the working relationship is based on trust and the terms were agreed upon via messages or over coffee, formalities are unnecessary. The problem, however, is that in the event of a dispute or misunderstanding, the lack of a written contract makes it difficult to prove who was obligated to do what.
There are situations in which:
- the influencer removes published content before the scheduled time or fails to publish it,
- the content is reused by the influencer without the consent of the brand or entrepreneur,
- a podcast guest refuses to publish the conversation after recording it,
- The entrepreneur and the brand do not acquire rights to the material, even though they paid for it.
Without written confirmation of the arrangements, it is difficult to prove the terms of the collaboration, and each party may present its own version of events. It is even more difficult to do so without any confirmation of the terms whatsoever.
What a good influencer agreement should include
The scope of such an agreement depends on the type of project and how you wish to collaborate, but in practice, it should almost always include a few fundamental elements:
- Scope of cooperation and obligations of the parties,
- Publication rules and advertising disclosures,
- Remuneration and settlement terms,
- Copyright and Licenses – who owns the materials created as part of the collaboration? Can the brand use them in advertising later on, or is additional consent required?
- Consent to the use of image and voice – crucial when working with creators who appear on camera or in photographs. Failure to obtain such consent may result in the need to remove the materials (!)
- Confidentiality and Non-Competition,
- Terms for terminating the cooperation.
The scope and content of an agreement with a guest or influencer depend on the nature of the collaboration, so it is worth considering all the relevant elements when drafting the contract.
